Neighbourhoods United Limited TERMS & CONDITIONS Please note that "we", "our" and "us" refer to Neighbourhoods United Limited. The subscription period agreement covered by these Terms and Conditions can not be transferred except that we can transfer all or part of it to a company that is a subsidiary or holding company of ours, or a subsidiary of that holding company (all as defined by Section 736 of the Companies Act 1985 as amended by the Companies Act 1989). 1. The Service The Service gives you access to our registration system (including helpdesk services) and applications as described below and at www.neighbourhoods-united.com. The Service is intended for consumer home use. 1.1 The Service provides a community alert system which allows registered users within a community to warn each other of security problems. Users subscribe to the community alert system via the internet at www.neighbourhoods-united.com 1.2 When an originating user wishes to alert their community to a security problem, they send an SMS text into the community alert system’s central control using a specific telephone number. 1.3 The central control will recognise who the originator is and where they are, as well as what community should be alerted. The central control will then send an SMS text to all of the relevant members of that community. 2. When Does Our Service Period with You Start 2.1 You can sign up for the Service online at www.neighbourhoods-united.com. When you have done this, the subscription period agreement (as set out in these terms and conditions) will commence. 2.2 This subscription period agreement is a rolling one that is currently at a fee of £9.99 per annum. The fee will be billed and charged to your method of payment on each anniversary unless we are advised by you in writing terminating the contract at time of annual renewal. 2.3. If you then terminate the subscription mid (annual) term, no monies paid to us for the 12 month duration will be returnable to you. 2.4 On an annual basis we will email you at your provided email address on the 11th Month of your subscription period confirming continuation of Service subscription and advising you that we will be taking payment from the details provided by you. If you do not wish to continue the Service subscription you are required to notify us by return email or by post within 7 days of receipt of our email to you. 3. Getting Started 3.1 Upon registration you are required to provide a name, address, postcode, a maximum of 2 telephone numbers, create a username and password and payment card/method details via the secure payment process. 3.2 By signing up for the Service, you are agreeing to immediate provision of the Service. You cannot cancel the Service under the Consumer Protection Distance Selling Regulations 2000 without penalty during the term of the 12 month contract. This will normally mean no refund on fees for the remainder of your 12 month contract at time of cancellation). 4. Your Instructions We will only accept from you, instructions regarding the Service 5. Making Sure the Service is Secure 5.1 Using your input; we will create for you a username and password. These are essential for your secure use of the Service so you must ensure that they are kept confidential, secure and are used in accordance with all relevant instructions. 5.2 If we suspect there is likely to be a breach of security or misuse of the Service we may: (a) Change your password and then notify you that we have done this and/or (b) Suspend username/password and all access to the Service (see paragraph 10) (c) Terminate your account 5.3 If you think that any username, password or access to the system has become known by someone not authorised to use it, or if any password is being or is likely to be used in an unauthorised way, you need to inform us immediately. Failure to do so may result in us having to (a) Change your password and then notify you that we have done this and/or (b) Suspend username/password and all access to the Service (see paragraph 10) (c) Terminate your account We can also not be held liable for any eventuality as a result of your failure to inform us. 5.4 If any of the information you give to us when you sign up for the Service changes, including any changes to your payment details, you must inform us immediately. This can be done by accessing the Service using the internet and username and password credentials or by emailing us at support@neighbourhoods-united.com 6. Things we May Have to do 6.1 We may need to temporarily suspend the Service for operational reasons (e.g. for repairs, planned maintenance or upgrades). We promise to restore the Service as soon as possible after any suspension. We will not be liable for any loss, damage or inconvenience caused as a result. 6.2 We may have to alter code or access numbers or technical specification associated with the Service for operational reasons, and where we need to tell you about this we will give you as much notice as we can. 6.3 We can also not be held liable for any eventuality as a result of 6.1 and 6.2 6.4 We inform you that there may be circumstances where it will not be possible to provide you with any notice i.e. in cases of emergencies. 7. Repairing Faults in the Service 7.1 Although we attempt to provide you with the best possible Service, we cannot guarantee that the Service will never be faulty. However, we will correct all reported faults as soon as we reasonably can. 7.2 If there is a fault with the Service or you forget a password you should email us at support@neighbourhoods-united.com 8. Paying our charges 8.1 You must pay the charges for the Service that are set out in the price located at www.neighbourhoods-united.com upon registration. This price is part of these terms and conditions. 8.2 When you register for the Service we will ask you to select a payment method and we will charge you for the Service on an annual basis from the date that the Service is available for you to use. 8.3 We will apply the charges to your chosen method of payment on each anniversary unless you advise us in writing otherwise. 8.4 Any increase in annual subscription charges will be communicated to you prior to change or charge to your chosen method of payment. 9. Use of the Service 9.1 You must take all reasonable precautions to ensure that any person you authorise (including you) do not use the Service: (a) Fraudulently or in connection with a criminal offence (b) To send knowingly false alerts (c) To cause annoyance, inconvenience or needless anxiety (d) In a way that does not comply with any instructions that we have given you; or 9.2 If we think that your use of the Service may: (i) Impair the security of the system and/or the network used to provide the Service (ii) Cause detrimental performance of the Service to you or any other customer We may suspend your access to the Service. Suspension is further explained in paragraphs 10. If possible, we will give you prior notice if we do suspend your Service. 10. Suspension and Termination of Service 10.1 If you do not adhere to the Terms and Conditions set out here, we can suspend the Service or end subscription (or both) at any time and without notice: (a) With immediate effect if you materially breach these Terms and Conditions; (b) With immediate effect if we believe that the Service is being used in a way described in paragraph 9.1 or 9.2, even if you do not know that the Service is being used in such a way; (c) If you breach this contract in any other way and fail to remedy the breach within 7 days of being asked to do so (d) With immediate effect if bankruptcy or insolvency proceedings are brought against you, or an arrangement with creditors is made, or a receiver or administrator is appointed over any of your assets, or you go into liquidation; or (e) With immediate effect if we have terminated your use of any Service during subscription period due to your breach. If we have suspended or terminated or suspended your account under paragraphs (a), (b), (d) or (e) above, we will inform you of such suspension or termination within 14 days and explain why we have taken this action. 10.2 If we decide to suspend the Service, a password or username (in the above defined), we will restore it (if neither of us have ended this contract) when you satisfy us that you will only use the Service as we have agreed (refer to paragraph 9) 10.3 If we decide to suspend the Service under paragraphs 9 and 10, no monies will be refunded to you. 11. When we Provide You With Content 11.1 As part of the Service we may provide you with applications, data, information, video, graphics, sound, music, photographs, software or any other material within our website. This content is always changing as we try to provide you with the best possible Service, and therefore you may notice changes in the content that you can access via our website at www.neighbourhoods-united.com The expected changes will mainly be to the look and feel of the site but may in some instances be to the actual processes used for registration and payment methods. 11.2 The content we provide to you can only be used for your own purposes and is protected by copyright, trademark, and other intellectual property rights. You are not allowed to copy, store, adapt, modify, transmit, distribute externally, play or show in public, broadcast or publish any part of the content. Your use of the content (for whatever purpose) is at your own risk. 12. Matters Beyond our Control If we cannot fulfil our obligation as specified within these Terms and Conditions due to unforeseen circumstances beyond our reasonable control (including, without limitation, industrial disputes involving our employees), we will not be liable for this. Please see paragraph 2 for your right to end this contract. 13. Variation of Subscription Term We may change these Terms and Conditions, including our charges, at any time. We will give you at least 28 days notice of any changes before they take effect. Any increase in charges can only be applied to future subscriptions periods and not any current subscription periods. 14. How to Give Notice 14.1 If either of us gives a notice to the other under these terms and conditions this must be done by email to support@neighbourhoods-united.com (a) To us: at the email address shown on the appropriate web site or an alternative address which we may give you. (b) To you: if you at your address, or at the postal address you specify when registering for the Service, or at the email address provided to you upon registration. 14.2 You are responsible for checking the mail sent to the email address provided to you as part of the Service. 15. Waiver Neither of us shall be considered to have waived any right under this contract because of failure or delay in exercising that right. 16. Third party rights A person who is not a party to this contract has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this contract but this does not affect any right or remedy of a third party which exists or is available apart from that Act. 17. The law that relates to these Terms and Conditions English Law governs this contract and we both agree to the exclusive jurisdiction of the English courts.
